By accessing and using our platform, you agree to the following Terms of Service ("Terms"). These Terms apply to all users, including business owners (referred to as "Clients") and shoppers (referred to as "Customers"). If you do not agree to these Terms, you should not use our platform.

2. User Types and Responsibilities

Clients (Business Owners): Clients are business owners in the Philippines who create and manage online stores using our platform. They are responsible for managing their store’s content, processing orders, handling customer data, and ensuring the security of payment processing. Clients can customize their stores, list products, set pricing, and track sales.

Customers (Shoppers): Customers are individuals in the Philippines who visit online stores hosted on our platform. They can browse products, make purchases, and make payments for the items they wish to buy. Customers must adhere to the store’s policies, such as return and refund policies, during their purchase process.

4. Social Media Login via Offquick

Clients using Offquick agree to utilize Offquick’s centralized social media login system to enable users to sign in using third-party platforms such as Google and Facebook. This system is managed and maintained by Offquick and is integrated across all client e-commerce websites, including but not limited to custom domains like shop1.com, shop2.com, and others.

Clients are permitted to use Offquick’s social login services solely for authenticating users on their respective e-commerce sites. Offquick retains the right to manage, audit, or update these integrations to ensure compliance with third-party platform policies and to maintain a secure and consistent user experience.

5. Billing and Payments

We will charge clients based on the plan selected, Clients will be billed at the start of each subscription period.

While there are no setup fees, Clients can opt for additional premium features such as custom themes, advanced marketing tools, and other specialized services for an extra fee.

Clients can send their payments through our GCash or bank account, as per their preference.

6. Content Ownership

Clients retain full ownership of the content they upload to our platform, including product listings, images, descriptions, and other materials ("Client Content").

By uploading content, clients give us permission to use, display, and share the content only to provide services on the platform.

Clients are responsible for ensuring that their content does not infringe on third-party copyrights, trademarks, or any other intellectual property rights. The platform reserves the right to remove any content that violates this policy.

7. User Conduct

Clients agree not to list any illegal, counterfeit, or harmful products, including but not limited to:

If any violation is detected, we reserve the right to suspend or terminate the Client’s account, remove offending content, and take appropriate legal action. Clients will be notified of violations and will have an opportunity to appeal the decision.

8. Termination and Suspension

We reserve the right to suspend or terminate a Client’s account if they:

Clients may cancel their subscription at any time. Upon cancellation, the Client’s store will no longer be accessible. Any outstanding fees will still be due.

9. Liability

While we strive for uninterrupted access to the platform, we do not guarantee 100% uptime. The platform may experience downtime due to system maintenance, updates, or unforeseen technical issues.

We are not liable for any financial losses or damages incurred by Clients or Customers due to system outages, payment processing failures, or disruptions beyond our control.

We are also not responsible for payments that have not been successfully received or processed, as payment transactions are handled by third-party payment processors over which we have no control.

Additionally, we are not liable for any issues related to shipping, including delays, damages, or loss of goods during transit, as these are managed by third-party shipping providers.

10. Support and Disputes

Clients can reach our support team via email or during business hours. Our support team is available to assist with any technical issues or account-related inquiries.

For disputes between clients and customers, we provide an integrated messenger to help with communication and resolution. Clients are also required to display their contact details in case their customers have questions regarding orders, payments, etc.

11. Use of Client Store in Portfolio

Clients grant Offquick the right to display their store’s name, logo, and public-facing website (e.g., homepage or storefront) on Offquick’s marketing materials, website, portfolio, and official social media channels. This includes the right to mention the client as a user of Offquick and to showcase screenshots or links as examples of e-commerce sites powered by the platform.

This usage will be limited to promotional purposes only and will not include access to or use of confidential or private data.

If a client prefers not to be featured, they may request removal at any time by contacting us.

12. Maintenance and Updates

Offquick may perform system maintenance to implement updates, fixes, or changes to improve the platform.

For urgent bug fixes or critical issues, Offquick reserves the right to place client websites in maintenance mode without prior notice in order to maintain security and stability.

For regular updates or feature enhancements, Offquick will make reasonable efforts to inform clients in advance before initiating any maintenance that may temporarily affect site availability.

13. Amendments to the Terms

We reserve the right to modify, update, or change these Terms of Service at any time. Any updates will be communicated via email.

Clients are responsible for reviewing these Terms regularly. Continued use of the platform after any changes constitutes acceptance of the updated Terms.
